Welcome to SaaS Marketplace. By using our platform, you agree to these Terms of Service. This is a legally binding agreement. Please read it carefully.

1. The Marketplace as a Neutral Venue

LottoSaaS provides a platform for users to buy and sell digital assets, including SaaS products, APIs, and intellectual property ("Assets"). We act as a neutral venue; we are not a party to any transaction between a buyer and a seller. We do not own, inspect, or have any liability for the Assets listed on the platform.

2. Escrow and Payments

To protect both buyers and sellers, all transactions are processed through our secure escrow system powered by Stripe. When a buyer commits to a purchase, the funds are authorized and held by Stripe. These funds are not released to the seller until the buyer confirms that they have received and taken control of all the agreed-upon assets. The platform charges a 5% commission on the final sale price, which is deducted before the funds are transferred to the seller. Sellers are also responsible for any transaction processing fees charged by Stripe, which are separate from our platform commission.

3. Seller Obligations and Warranties

Sellers agree to provide accurate and non-misleading information about their Assets. By listing an Asset, the seller represents and warrants that they are the legal owner of the Asset and have the full, unencumbered right and authority to sell it. The seller is solely responsible for the legality of the transaction and the Asset itself. Upon a successful sale, sellers are obligated to cooperate fully with the buyer to transfer all aspects of the Asset as described in their listing.

4. Buyer Obligations

Buyers agree to perform their own due diligence before making a purchase. By purchasing an Asset, you enter into a binding contract with the seller. After the transfer of assets is complete, you must promptly notify the platform so that funds can be released to the seller. You acknowledge that LottoSaaS does not verify the seller's claims or legal authority to sell the Asset.

5. Asset Transfer

The buyer and seller are solely responsible for the negotiation and execution of the Asset transfer. The platform does not take part in the technical or legal transfer. We strongly recommend both parties sign a "Bill of Sale" to formalize the transfer of ownership. A template and guide can be found on our platform for informational purposes only.

6. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the issue directly. If a resolution cannot be reached, you may contact our support team. We will act as a neutral mediator, but we do not have the authority to impose a binding resolution. Our role is to facilitate communication and, if necessary, decide whether to release or refund the escrowed funds based on the evidence provided.

7. Limitation of Liability

The platform is provided "as is". We are not responsible for the quality, safety, legality, or the seller's legal authority to sell the Assets listed. We are not liable for any lost profits or other consequential, special, indirect, or incidental damages arising out of or in connection with the platform or this agreement, including any failure of the asset transfer between buyer and seller.
